Terms of Service

1. Scope and Contracting Party

These Terms of Service ("Terms") govern the access to and use of all websites, web applications, digital tools, products and services (collectively the "Services") operated by ELLYTIC Technologies UG (haftungsbeschränkt), with registered seat in Hamburg, Federal Republic of Germany ("Ellytic").

By accessing or using the Services, a legally binding contractual relationship is established between the user ("User") and Ellytic on the basis of these Terms. If the User does not agree to these Terms, the Services must not be used.

These Terms apply to consumers within the meaning of Section 13 of the German Civil Code (Bürgerliches Gesetzbuch – BGB) and to entrepreneurs within the meaning of Section 14 BGB, unless expressly stated otherwise.

Any general terms and conditions of the User which deviate from, conflict with or supplement these Terms shall not become part of the contract unless Ellytic has expressly agreed to their validity in writing.

2. Definitions

For the purposes of these Terms:

2.1 "Platform" means any website, web application or digital interface operated by Ellytic, including https://ellytic.com and all associated subdomains.

2.2 "Services" means all digital, technical and administrative services provided via the Platform, including in particular:

• identity- and authority-related administrative support services,
• translation and documentation services, including certified translations,
• tax-related support services of a non-advisory nature,
• property- and real-estate-related information and concierge services,
• interactive wizards, dashboards, checklists and AI-supported assistants.

2.3 "Content" means any information, data, text, documents, images or other materials made available through the Services.

2.4 "User Content" means any Content provided, uploaded or transmitted by the User, including documents and personal data.

2.5 "AI Output" means content generated by automated or artificial intelligence systems used within the Services and, where applicable, reviewed, curated or released by human personnel.

2.6 "Client" means a User who enters into a paid contractual relationship with Ellytic for specific Services.

3. Nature of the Services – No Legal, Tax or Financial Advice

Unless expressly agreed otherwise in an individual written agreement, Ellytic provides technical, informational and administrative support services only. The Services do not constitute:

• legal advice or legal representation,
• tax advice within the meaning of German or foreign tax advisory laws,
• financial, investment or insurance advice,
• notarial services or services of sworn public officials.

All explanations, workflows, templates, checklists, AI Output and similar content provided via the Services are of a general nature and are not tailored to the individual circumstances of the User.

The User remains solely responsible for:

• verifying the accuracy, completeness and applicability of information and AI Output,
• obtaining independent professional advice where required,
• making decisions and submissions to authorities, banks, notaries or other third parties.

Ellytic does not guarantee that any authority, court, bank or other institution will accept documents, translations or procedures prepared or supported via the Services.

4. Eligibility, Registration and Account Security

4.1 The Services may only be used by persons who have reached the age of majority and have full legal capacity.

4.2 Where the User acts on behalf of a legal entity, the User represents that they are duly authorised to bind such entity.

4.3 Certain Services require the creation of a user account. Registration data must be complete and accurate and kept up to date.

4.4 Access credentials must be kept confidential. The User is responsible for all activities conducted through the account unless the User proves that misuse occurred without fault.

4.5 Ellytic may refuse registration or restrict access where there are indications of misuse, unlawful use or breach of these Terms.

5. User Obligations and Prohibited Conduct

The User shall use the Services in compliance with applicable law and these Terms. In particular, the User shall not:

• use the Services for unlawful, fraudulent or abusive purposes,
• provide false, misleading or forged information or documents,
• infringe third-party rights, including intellectual property or data protection rights,
• attempt to circumvent technical or security measures,
• use automated access methods or scraping tools in violation of law or these Terms,
• reverse engineer or decompile the Platform except where mandatory law permits this,
• use the Services to develop competing products in breach of law or contract.

The User remains responsible for compliance with all applicable regulations, including data protection, export control and sanctions law.

6. Use of AI and Automated Processing

Parts of the Services rely on automated processing and artificial intelligence systems for translation, classification, extraction of information and generation of suggestions or draft content.

Ellytic applies a human-in-the-loop approach where appropriate. However, the User acknowledges that even reviewed content may contain inaccuracies or may become outdated due to changes in legal or administrative frameworks.

All AI Output must be reviewed by the User prior to reliance or submission to third parties.

Ellytic does not assume responsibility for decisions taken by the User solely on the basis of AI Output without independent verification.

7. Document Handling and Translations

The User may upload documents to the Platform and confirms that such documents are authentic and lawfully provided.

Ellytic generally processes digital copies. The User remains responsible for providing originals, apostilles or legalisations where required by authorities.

Where translation services are provided, acceptance by authorities depends on jurisdiction-specific requirements. Unless expressly confirmed in writing for a specific case, Ellytic does not guarantee acceptance of a translation by a particular authority.

Information regarding apostilles, legalisation and cross-border recognition is provided without binding effect.

8. Third-Party Services

The Services may integrate or link to third-party services. These are governed exclusively by the terms of the respective provider.

Ellytic does not assume responsibility for availability, performance or content of third-party services.

9. Fees, Payment and Refunds

9.1 Fees are communicated prior to contract conclusion and stated in Euro unless otherwise indicated.

9.2 Unless expressly agreed, Ellytic does not owe a specific result or success. Remuneration is owed for the performance of the agreed Services.

9.3 Fees are non-refundable once Services have been commenced, unless mandatory consumer rights provide otherwise.

10. Service Availability and Changes

Ellytic may modify or temporarily restrict Services where reasonable and necessary for maintenance, security or technical improvements.

11. Intellectual Property

11.1 All rights in the Platform and Services remain with Ellytic.

11.2 The User is granted a limited, non-transferable right of use for the duration of the contractual relationship.

11.3 User Content remains the property of the User. The User grants Ellytic a licence solely for service provision.

12. Data Protection

Personal data processing is governed by the Privacy Policy, which forms an integral part of these Terms.

13. Liability

13.1 Ellytic is liable without limitation for intent, gross negligence and injury to life, body or health.

13.2 In cases of simple negligence, liability is limited to breaches of essential contractual obligations and to foreseeable damages typical for the contract.

13.3 Further liability is excluded to the extent permitted by law.

14. Disclaimer

The Services are provided "as is" and "as available".

15. Indemnification

The User shall indemnify Ellytic against third-party claims arising from culpable breach of these Terms.

16. Termination

Both parties may terminate for good cause. The User may terminate at any time by ceasing use.

17. Amendments

Ellytic may amend these Terms where required by law or service changes, subject to consumer protection rules.

18. Governing Law and Jurisdiction

German law applies. Mandatory consumer protections remain unaffected.
